SchoolOS
Ontario, Canada · Data Ownership Guarantee

Your school owns its data.
All of it. Permanently.

SchoolOS is software your school licences — not a service that keeps your records. Every student file, mark, attendance record, medical note, message and report belongs to the school before, during and after the subscription.

“The school is the sole owner, controller and custodian of every record in its SchoolOS account. SchoolOS holds that data only as the school's service provider, acts only on the school's written instructions, acquires no ownership, licence or other right to it, and returns or securely destroys it on request.”

Plain-language summary of the Data Ownership clause in the SchoolOS Master Services Agreement and Data Processing Addendum.

The guarantee, in eight commitments

These are contractual commitments, not marketing lines. Each one is written into the Master Services Agreement and the Data Processing Addendum.

🗝️

1. You are the owner

The school — not SchoolOS, not the vendor, not individual staff — is the sole owner of its account and of every record in it. Ownership does not transfer on signup, on renewal, or on termination.

🧾

2. We are the service provider

SchoolOS is a processor / agent only. We process data solely to deliver the service the school asked for, under documented instructions, and for no other purpose.

🚫

3. No sale, no mining, no ads

School data is never sold, rented, licensed, bartered, used for advertising, used to build profiles of students or staff, or used to train any AI model.

📤

4. Export is always open

Administrators can export the full account at any time in open formats (CSV, JSON, SQL dump plus the original uploaded files). No export fee, no lock-in, no “contact sales”.

🗑️

5. Deletion is real

On request or at end of term: data returned, then deleted within 30 days from live systems and 90 days from encrypted backups, with a written Certificate of Destruction.

🇨🇦

6. Stays in Canada

Primary hosting and encrypted backups sit in a Toronto, Ontario data centre. Any sub-processor outside Canada requires the school's prior written consent and a transfer assessment.

🔍

7. You can audit us

The school can inspect audit logs of every administrative action, receive a copy of our security documentation, and require an annual independent security assessment.

🤖

8. No AI on your students

No automated decision-making, no generative-AI feature, and no model training touches student data unless the school explicitly switches that feature on and documents the purpose.

Who is responsible for what

The legal wording matters at procurement. This table shows exactly which role each party plays under Canadian and Ontario law.

RoleThe schoolSchoolOS
OwnershipSole owner of all account data and all copies of itNo ownership interest, at any time
PIPEDA (private schools)Organization that determines the purposes of processingService provider processing on instructions
MFIPPA (Ontario school boards)Institution with custody or control of the recordsService provider; no use, retention or disclosure except as authorized

“Own” in plain language, “control” in law. Canadian privacy law protects personal information rather than treating it as property. When we say the school owns its data, we mean the school is the sole decision-maker and beneficiary of it — the full legal position is that the school is the controller / the institution with custody or control (or the health information custodian), and SchoolOS has no independent right to use any of it.

Built for Ontario and Canadian law

SchoolOS is designed to support the obligations that apply to Ontario schools, boards, colleges and universities. Each row lists what the law requires and how the platform and contract meet it.

LawWho it applies toWhat SchoolOS does
PIPEDA Private schools and any organization collecting personal information in commercial activity Ten fair-information principles applied by contract: accountability, identified purpose, consent, limited collection, limited use, accuracy, safeguards, openness, individual access, and a named privacy officer. Breach reporting support under the Breach of Security Safeguards Regulations.
MFIPPA
R.S.O. 1990, c. M.56
Ontario district school boards, Catholic boards and school authorities Records remain under the board's custody or control. SchoolOS does not use, retain or disclose records except as the board authorizes, and supports FOI requests, records schedules and routine-disclosure rules. Board may direct destruction at any time.
FIPPA
R.S.O. 1990, c. F.31
Ontario colleges, universities and other public institutions Same custody-or-control model, plus support for the institution's privacy impact assessments, records-of-use reporting and access requests.
PHIPA
S.O. 2004, c. 3, Sched. A
Any school record that is personal health information — medical alerts, allergy plans, special-education health plans, counselling notes SchoolOS acts as the custodian's agent with restricted, logged access; supports lockbox requests, consent directives and the custodian's 72-hour breach obligations; health fields can be restricted to named roles.
Bill 194, 2024
Strengthening Cyber Security and Building Trust in the Public Sector Act
Ontario public-sector bodies (FIPPA/MFIPPA institutions) Supports the new public-sector duties as they come into force: privacy impact assessments, public disclosure of AI use, stronger protection for children's data, and cybersecurity incident reporting. No AI runs on school data by default.
CASL
S.C. 2010, c. 23
Commercial electronic messages sent from the platform Express or implied consent is recorded per recipient, every bulk message carries an unsubscribe mechanism and sender identification, and consent records are exportable.
Ontario Consumer Protection Act, 2002 Where the subscription is a consumer agreement Clear price, term, renewal and cancellation terms before purchase; no auto-renewal trap; refund and termination rights preserved.
AODA, 2005 Ontario organizations providing goods and services Exports and reports are delivered in accessible, machine-readable formats so the school can meet its own accommodation and information obligations.

If the school is outside Ontario, the same commitments apply with the local law mapped in the Data Processing Addendum (for example GDPR for EU/UK schools, or Quebec's Law 25). Nothing in the agreement reduces a school's statutory rights.

Your data, through its whole life

Ownership is only meaningful if you can prove it at every stage. This is the lifecycle the contract guarantees.

What SchoolOS will never do

Data Ownership clause — exact wording

Copy this into an RFP response, a privacy impact assessment or a board report.

1. Ownership. As between the parties, the School is and remains the sole owner of all data, records, content and personal information submitted to or generated within its SchoolOS account (“School Data”). No title to School Data passes to SchoolOS, and SchoolOS acquires no licence, lien or other right in School Data except the limited right to process it to provide the Service. 2. Role. The School is the controller of School Data (and, where School Data includes personal health information, the health information custodian) and SchoolOS processes School Data only as the School's service provider, agent and processor, on documented instructions, and for no other purpose. 3. Prohibited uses. SchoolOS shall not sell, rent, lease, licence, disclose, publish, mine, profile, advertise against, or use School Data to train or improve any machine-learning or artificial-intelligence model. SchoolOS shall not access School Data except as needed to provide the Service, prevent a security incident, or comply with law. 4. Location. School Data and encrypted backups are stored in SchoolOS's Toronto, Ontario, Canada data centre. SchoolOS shall not transfer School Data outside Canada without the School's prior written consent and a completed transfer assessment. 5. Access and export. The School may export the complete account, including audit logs and original files, in open formats at any time at no charge. SchoolOS shall provide reasonable assistance with the School's access, correction and records-retention obligations. 6. Return and destruction. On termination or on written instruction, SchoolOS shall return School Data and then permanently destroy it within thirty (30) days from production systems and ninety (90) days from backups, and shall certify destruction in writing on request. De-identified, aggregated service telemetry containing no personal information may be retained. 7. Sub-processors. SchoolOS shall maintain a published list of sub-processors, give thirty (30) days' notice of any change, remain fully liable for each sub-processor's acts and omissions, and flow these obligations down to each of them. 8. Security and breach. SchoolOS shall maintain administrative, technical and physical safeguards appropriate to the sensitivity of School Data, and shall notify the School without undue delay and in any event within twenty-four (24) hours of confirming a breach of security safeguards involving School Data. 9. Audit. The School may audit compliance with this clause on reasonable notice, and SchoolOS shall provide its current security documentation and independent assessment results on request. 10. Survival. This clause survives termination of the Agreement for as long as SchoolOS retains any School Data.

Contracting party: SchoolOS, 219 Birmingham St, Etobicoke, Ontario M8V 0J6, Canada — schoolos@gmail.com. This page describes the SchoolOS contractual commitments. The binding terms are in the signed Master Services Agreement and Data Processing Addendum, which we recommend your board review with Ontario counsel. Questions schools ask us

Does “owning the data” mean we can take it and leave?
Yes. At any time you can export the complete account — CSV, JSON, SQL plus every original uploaded file — at no cost and without asking us. There is no lock-in period, no exit fee and no data withheld. If you leave, we give you a final complete export and then destroy our copies within 30 days (or return them if you prefer).
We are a public school board. Does MFIPPA still apply if a vendor holds the records?
Yes. Records in a vendor's system that the board controls remain records of the board, and the board keeps its custody-or-control obligations. Our contract says exactly that: SchoolOS holds the records only as the board's service provider, may not use or disclose them except as the board authorizes, and destroys them on the board's direction. That is the language your FOI/records officer and privacy officer will look for.
What about medical information in the student record?
Where a record is personal health information, PHIPA applies. The school is the health information custodian and SchoolOS is its agent: access is limited to named roles, logged, and used only to provide the service. Health fields can be locked to specific role groups (for example, office staff only), and lockbox requests from students or parents are supported.
Is the data stored in Canada?
Yes — primary data and encrypted backups are hosted in a Toronto, Ontario data centre, inside Canada. SchoolOS will not move School Data outside Canada without your prior written consent and a transfer assessment. Backups stay in Canada too, encrypted, and are never replicated to a foreign region.
Do you use AI on our students' data?
No. There is no AI feature enabled on student data by default, no automated decision-making, and no model training on school data. If a school later chooses an AI-assisted feature, it is opt-in per feature, documented in the Data Processing Addendum, disclosed in the school's own records, and can be turned off at any time.
Who at SchoolOS can see our records?
Only named support staff, only when you open a request, only for as long as the request is open, and always logged. Support access is read-only by default. The audit log of every access is exportable and available to you on demand.
What happens to our data when we cancel?
You get a final full export for 60 days after the term ends. Live data is deleted within 30 days of your instruction, encrypted backups expire within 90 days, and we issue a written Certificate of Destruction on request.
Can we get a signed Data Processing Addendum before we sign?
Yes. A DPA is available for review at any stage — including before purchase — and can be signed as a standalone document or attached to the Master Services Agreement. Boards that need their own DPA template can send it to us and we will work from it.
Is SchoolOS certified compliant?
No vendor can “certify” a school's compliance, and we will not claim to. What we do is commit contractually to the controls above, document them, and support your privacy impact assessment, FOI processes and audits. Compliance is shared: the school remains accountable for its own purposes, notices and retention, and we provide the technical and contractual evidence you need to demonstrate it.

Put it in writing before you sign

We will send the Data Ownership clause, the Data Processing Addendum and our security summary for your privacy officer, FOI coordinator or board counsel to review — before any purchase decision.
